Compensation and Say on Pay: The Brave New World Compensation Committees remain on the hot seat. Although the first year of universal say on pay was for most companies a non-event, failed votes at a hand-full of companies were embarrassing at best, and at worst, led to a lawsuit. Moreover, some commentators have suggested that 2011 was a mere trial run — with many investors determining to be conservative in their casting of "no" votes the first time around — but that in 2012 "the gloves will come off." Beyond the CEO: The Board's Relationships with the CFO, General Counsel, and Other Senior Management Historically, Boards' interactions with senior management other than the CEO have been quite limited: directors could ask questions at the end of the manager's Boardroom presentations, but that was about it. CEO's were often quite happy with this arrangement - by positioning them as the sole gatekeeper for Board/management communications, it reinforced the CEO's ability to call the shots in terms of company information that got to the Board.
