The environment for directors and officers
remains extremely challenging as litigation
claims and settlement amounts have reached
new levels. The different types of actions
being filed and the emergence of
institutional investors as a primary driving
force on the plaintiffs' side present
further challenges. Greater regulatory
scrutiny and creative litigation strategies
increase the exposure of companies and their
management and the risk of personal
